SYNOPSIS

This module provides participants with knowledge on the different modes of winding up, and with a particular focus on court-ordered winding up. The course will explore how a company can be placed in liquidation and the effects of a liquidation, legal implications on the stakeholders, the roles and powers of liquidators, and the practical and commercial issues to consider over the course of the liquidation administration. A section of the module will also cover another form of recovery, mainly for secured creditors which is receivership and its relationship with the liquidation process. Participants will also learn the basics of personal bankruptcy and the administrative process to exit bankruptcy through a discharge and/or an annulment.


This module is part of the Graduate Certificate in Insolvency and Restructuring.


LEARNING OBJECTIVES

At the end of the module, participants will be able to:

  • Gain competency on the different types of insolvency regimes in Singapore
  • Be familiar with the powers and duties of liquidators and the practical aspects of managing a winding up, especially in the context of a Court-Ordered Winding Up
  • Gain basic knowledge and understanding of receivership and bankruptcy administration in Singapore

  • Newly qualified accountants and lawyers pursuing R&I practice or mid-career accountants/ lawyers from other specialisations
  • Restructuring/ Financial Advisers
  • Bank/ Lender work-out groups


PREREQUISITE

Participants should preferably be a degree holder, in any discipline, and have at least one year of working experience.


ASSESSMENT

As part of the requirement for SkillsFuture Singapore, there will be an assessment conducted at the end of the course. The mode of assessment, which is up to the trainer’s discretion, may be an online quiz, a presentation or based on classroom exercises.

Participants are required to attain a minimum of 75% attendance and pass the associated assessment in order to receive a digital Certificate of Completion issued by Singapore Management University.

 
 

SPEAKERS


Gary Goh
Gary is a Partner of Restructuring & Forensics at RSM Corporate Advisory Pte Ltd. Prior to joining the firm, Gary was with a Big 4 accounting firm for over 10 years in the restructuring services division. For more than 16 years, he has been assisting a diverse range of public-listed companies and small- and medium-sized enterprises in various industries that include construction, shipping, financial services, oil and gas, retail, law firms, food and beverage, and manufacturing businesses. Gary is experienced in assisting businesses in insolvency and restructuring assignments that include liquidation, receivership, judicial management, scheme of arrangement, and turnaround consulting. In addition, he also worked on cases in areas such as financial investigation, litigation support, and independent business reviews.

Gary is a Chartered Accountant of Singapore, Member of Insolvency Practitioners Association of Singapore and a licensed Insolvency Practitioner. He is a founding executive committee member of the Young Insolvency Practitioners’ Committee of the Insolvency Practitioners Association of Singapore (IPAS) and is currently the co-chairperson. He is also involved as an instructor for the SMU Insolvency & Restructuring Course (for the accountancy and law students) and assisted in preparing the questions for the assessments.


Looi Xuan Jing
Xuan Jing is an Associate Director of Restructuring & Forensics at RSM Corporate Advisory Pte Ltd. She specialises in the field of corporate insolvency and restructuring in Singapore, and is experienced in various corporate restructuring and insolvency matters, including winding down of companies, judicial management and scheme of arrangement, receivership and other informal turnaround consulting of distressed companies.

She has assisted clients of diverse backgrounds and industries, including F&B, retail, trading, construction, automotive, energy & commodities, healthcare businesses, etc.

Xuan Jing is a Chartered Accountant of Singapore, Fellow of Insolvency Practitioners Association of Singapore and Association of Chartered Certified Accountants.

Mohan Gopalan
Mohan is a Director in the Corporate Restructuring & Workouts team at Drew & Napier LLC. He specialises in insolvency and debt restructuring and regularly advises debtors, creditors and insolvency office-holders on transactional and litigation aspects of insolvency and debt restructuring matters.

Mohan has been involved in several major debt restructuring transactions, including the US$2bn restructuring of PT Berlian Laju Tanker Tbk, which was named the Restructuring Deal of the Year at the IFLR Asia Awards 2016 and Insolvency Deal of the Year at the Asian Lawyer Emerging Markets Awards 2016. He has also been involved in several landmark cases concerning insolvency and debt restructuring, including Media Development Authority of Singapore v Sculptor Finance (MD) Ireland Ltd [2014] 1 SLR 733, BNY Corporate Trustee Services Ltd v Celestial Nutrifoods Ltd [2014] 4 SLR 331 and Re Pacific Andes Resources Development Ltd [2018] 5 SLR 125.

Mohan is recognised by many leading legal ranking publications for his work in Restructuring/Insolvency. He is ranked a 'Leading Lawyer' by Chambers & Partners and a 'Next Generation Partner' by Legal 500 Asia Pacific. In addition, he is named a ‘Rising Star Partner’ by IFLR 1000 and a 'Rising Star' by Asialaw Leading Lawyers. He was also listed in the inaugural ‘40 under 40’ list of restructuring lawyers compiled by the Global Restructuring Review in 2016, and identified as a 'Rising Star' in Restructuring at the 2016 IFLR Asia Awards.


Mitchell Yeo
Mitchell Yeo is a Director (Corporate Restructuring & Workouts) at Drew & Napier LLC. He specialises in debt restructuring matters, being actively involved in some of the largest restructurings in Asia. He has acted for and advised stakeholders across the spectrum of profiles, including investors, insolvency office-holders, financial creditors, and restructuring debtors, and in both transactional and contentious contexts. Mitchell has also had extensive experience in corporate and individual insolvency matters, having advised both insolvency office-holders and creditors on a variety of issues encountered during liquidation, judicial management and bankruptcy, including corporate/ commercial disputes during insolvency situations.

Mitchell has been named twice in 2021 and 2023 by The Asia Pacific Legal 500 as a Recommended Lawyer, being described as “outstanding” and “lifting above his weight class” for his restructuring and insolvency work, and was named by Singapore Business Review as one of Singapore’s most influential lawyers under 40.
