SYNOPSIS

In recent years, Singapore has been improving and streamlining its restructuring and insolvency regime to augment its position as a global financial centre. This seminar provides an exploration of the key changes to the restructuring and insolvency regime effected by the 2017 amendments to the Companies Act, and discusses the aspects of the new Insolvency, Restructuring and Dissolution Bill which relate to restructuring and corporate insolvency.

The 2017 amendments to the Companies Act, which came into force on 23 May 2017, introduced significant new legislative tools to rescue distressed companies and enhanced the existing processes of judicial management and schemes of arrangement. It also increased the access that foreign companies have to Singapore’s insolvency procedures and introduced the UNCITRAL Model Law on Cross Border Insolvency into Singapore law, improving the Singapore Court’s ability to participate in and facilitate cross border insolvency processes.

This year, to streamline Singapore’s insolvency regime, a new Insolvency, Restructuring and Dissolution Bill has been tabled, which will, among other things, introduce various other measures aimed at facilitating restructuring efforts such as enabling a company’s creditors to fund litigation commenced by the company, allowing companies to voluntarily enter into judicial management, and restricting ipso facto clauses.

This seminar is for every practitioner whose work touches on restructuring and corporate insolvency.
