SYNOPSIS


The last decade there has been an increased interest in multi jurisdiction real estate investments. In this lecture, the legal and tax perspectives of the financing side will be discussed in an integrated manner.


From a return on investment perspective, investors are looking at the best debt-equity mix (leveraging). From a financing perspective the main legal considerations of financiers are cross border securities, enforceability and recourse. From a tax perspective the interest deductibility, impact of withholding taxes and the old and new international structuring winds are the key considerations.


In this lecture the speakers will guide you through the most important international legal concepts when looking at cross border financing arrangements in the real estate space. Also they will discuss the key tax concepts and zoom in on trends and developments where it comes to amongst others debt versus equity and transfer pricing. They will close off with case studies where all tax and legal elements meet and need to be aligned.


After following this lecture, participants should be able to identify international tax and legal red flags when reviewing or drafting cross border financing documents.  


 


ABOUT THE SPEAKERS


Hans Rothuizen

Hans Rothuizen is member of the investment management and real estate team of Loyens & Loeff. Hans specialises in domestic and cross-border transactions, group restructurings and mergers and acquisitions. He advises both Dutch and international clients, including corporate clients, investment funds and sovereign wealth funds.  


 


Ehsan Shirzadi

Ehsan specialises in secured lending, focusing on transportation finance and real estate finance. In 2015, he was seconded to the finance team of Mayer Brown LLP in Londen and Ehsan also worked in the London office (2015-2017).

a. Seminar fee 

Seminar fee of S$175* (inclusive of GST) applies.

b. Group discount fee
Group discount fee of S$160(inclusive of GST) applies if there are at least 10 participants from the same organisation. 

c. SMU Alumni fee (for LLB / JD / LLM graduates)
Seminar fee of S$160* (inclusive of GST) applies for SMU LLB / JD / LLM Alumni.

 


*Please note that there will be no refund of any fees should the participant cancel the registration/ fail to attend the seminar. However, registration is transferable. Notice of any change in participant should be sent to the Academy via email: smulawacademy@smu.edu.sg, by 30 August 2019.


 


SMU School of Law reserves the right to cancel or postpone any event. In such case, we will arrange for the refund of seminar fees paid.
