SYNOPSIS

This seminar will examine the rise of shareholder activism in China and its implications for Chinese corporate law and governance. It will highlight the main findings of a research project undertaken by the speakers, which has received international attention for revealing this new and important feature in Chinese corporate law and governance.

Participants will gain a clear understanding of the legal features that have been foundational in the rise of shareholder activism in China, as well as the market-based and political forces (or lack thereof) which have driven this development. There will also be a consideration of what the future may hold for shareholder activism in China, with a particular focus on the expected impact of China’s new Company Law that took effect on 1 July 2024. 

This seminar is designed for attendees interested in corporate law and governance in China, shareholder activism, and comparative corporate law and governance.

This session is part of the SMU Law Academy “Recent Highlights” series. Designed with the busy practitioner in mind, this series provides participants with a convenient platform to obtain timely and practical bite-sized analysis of the latest developments in various areas of the law. The series will be taught by leading and experienced experts curated from academia and practice. Each topic in the series is distilled into a short-duration online webinar so that busy legal professionals can be effectively updated with the most material developments affecting their practice.
   

 

SPEAKERS

Dan W. Puchniak
Dan W. Puchniak is a Professor in the Yong Pung How School of Law (YPHSL) at Singapore Management University, the Director of the YPHSL Centre for Commercial Law in Asia, and a Research Member of the European Corporate Governance Institute (ECGI). Dan is an internationally recognized scholar in the field of comparative corporate law and governance, with a focus on Asia. He has received numerous domestic and international awards for his academic research and teaching – most recently, the 2023 Cleary Gottlieb Law Prize.  Dan’s research has been profiled in The Economist, The Japan Times, and The Business Times. He has advised international organizations on the development of corporate law in Asia, served as an expert in high stakes complex corporate law disputes in Asia, and previously practiced corporate commercial litigation in one of Canada’s leading law firms.  

 

Zhang Wei
Zhang Wei is an Associate Professor and Associate Dean of the Singapore Management University, Yong Pung How School of Law. He earned his law degrees from top law schools in China, Japan and the U.S. Dr. Zhang specializes in corporate and commercial law, law and economics, property law, and Chinese law. He focuses on quantitative empirical studies of law and the effects of legal systems on our society. His works have been published in various peer-reviewed journals in U.S., U.K., mainland China and Taiwan. Dr. Zhang has also been invited as a guest speaker to top universities and regulatory agencies in China, including Peking University, Tsinghua University, Fudan University, as well as the Shanghai and Shenzhen Stock Exchanges and the Shanghai Financial Court. He also taught training sessions for the Asset Management Association of China and the China-Ready Program sponsored by the Ministry of Law.
