| | SYNOPSISCorporate governance plays a critical role in ensuring effective corporate leadership, accountability, and risk management. For legal practitioners advising boards, senior management, and regulated entities, a sound understanding of governance frameworks and the practical realities are essential.
This Masterclass examines the legal and practical dimensions of corporate governance in Singapore. It covers directors’ duties, board and committee structures, executive remuneration, risk oversight, and internal control frameworks. The programme also considers emerging governance challenges arising from AI, cybersecurity, ESG considerations, and geo-political tensions.
The Masterclass adopts a practice-oriented approach, drawing on boardroom experience from listed companies, charities, and multinational organisations. Interactive case studies and practical scenarios will be used to facilitate learning and to provide participants with practical insights into advising boards and senior executives on governance matters. The SMU Law Academy Expert Masterclasses are advanced skills and case-study based programmes where participants will learn from the industry’s top experts in a specific area of practical importance. Typically taught in a face-to-face format, such sessions will help participants to acquire practical in-depth knowhow to aid their development. All the masterclass instructors are specially curated and are recognised as experts in their areas. SPEAKERKay Pang is a senior accredited board director and lawyer specialising in corporate governance, risk management, technology, and sustainability. She currently serves as an Independent Director of SGX-listed companies and institutions of public character, and is a Governing Council Member of the Singapore Institute of Directors.
She is the CEO and Managing Director of Kay Pang Law Practice LLC. Her professional experience includes senior in-house legal leadership roles in multinational technology companies, as well as private practice at leading international and Singapore law firms. Kay is qualified as a Barrister-at-Law (England & Wales) and an Advocate & Solicitor of the Supreme Court of Singapore, and lectures at both NUS and SMU.
