Directors' and Executives' Liability for Extra-Territorial Corruption

SYNOPSIS
As Singapore companies expand abroad, the issue of liability for bribery committed outside Singapore becomes more significant. Some believe that without resorting to bribes business cannot be done in certain countries. Such beliefs are dangerous. Directors and executives in Singapore can be made criminally liable for corrupt acts done in a foreign country even if they never set foot in that country. This can lead to fines, imprisonment and disqualification from management of companies in Singapore. This talk will analyse with the usage of practical examples the ways in which a director or executive might fall foul of the laws against corruption abroad. More importantly, the talk will also provide practical pointers to help directors or executives ensure that they do not incur liability for extra-territorial corruption. Besides directors, this talk will be relevant to legal practitioners advising clients in navigating such issues.
SPEAKER
Professor Walter Woon, Senior Counsel is presently Lee Kong Chian Visiting Professor at the Yong Pung How School of Law, Singapore Management University, an Honorary Fellow of St John's College Cambridge and an Emeritus Professor at the National University of Singapore, having been David Marshall Professor of Law for 12 years. In addition, he is Chairman and a senior consultant of regional law firm RHTLaw Asia LLP, in which capacity he has been involved in advising on both criminal and civil cases. He is also an Honorary Fellow of the Singapore Institute of Directors and has been an independent director of two listed companies. Professor Woon was Attorney-General and Public Prosecutor from 2008-2010. Before that he was Solicitor-General from 2006-2008. In those roles he was intimately involved in the exercise of prosecutorial discretion to prosecute or refrain from prosecuting various offences. Professor Woon has appeared before the High Court and Court of Appeal on several occasions, arguing criminal cases as well as civil ones.

*Please note that there will be no refund of any fees should the participant cancel the registration/ fail to attend the event. However, registration is transferable. Notice of any change in participant should be sent to the Academy via email: smulawacademy@smu.edu.sg, by 19 September 2023.
SMU Law Academy reserves the right to cancel or postpone any event. In such case, we will arrange for the refund of fees paid.
