Seminar on "Fundamentals of Law: What Every Lawyer Should Know about Funds"

Investment funds come in many different types and forms, depending on the jurisdictions involved, investors in the fund and the type of assets the fund invests into.

This session will help legal practitioners get an understanding of the landscape that makes up private funds. Participants will get an introduction to the private equity and venture capital landscape, different types of funds and how funds operate.

Essential concepts of investment funds will be explained, such as typical fund entities used, regulatory supervision, tax considerations and fund structuring. The session will also provide clarity on typical fund lingo and how these fund terms apply to a fund structure.

The course will consist out of three parts:

1. An introduction to private equity and investment funds;
2. Fund structuring, including the types of fund entities, regulatory supervision and tax structuring;
3. An introduction to the fund agreement, with a specific focus on concepts that are unique to the fund industry such as the remuneration of the fund manager (management fees and carried interest), governance and investor’s rights.

After the course, participants will be familiar with typical terms and concepts used in private equity funds, how a fund operates and will be able to identify governance risks, manager’s remuneration issues and investor’s rights.

The session will be an interactive session and participants are highly encouraged to participate and ask questions and share experiences.

Group discount fee of S$180* (inclusive of GST) applies if there are at least 10 participants from the same organisation.

 

c. SMU Alumni fee (for LLB / JD / LLM graduates)

Seminar fee of S$180* (inclusive of GST) applies for SMU LLB / JD / LLM Alumni.
