Module 6: Financial Assessment

SYNOPSIS

Financial assessment is a key and integral part of a restructuring and insolvency practice. It is an essential skill in determining the solvency or otherwise of an organisation that is undergoing restructuring or insolvency.


This module will equip participants with the knowledge and skills that are required to perform such financial assessment. Through a mixture of lectures, presentations, facilitated discussion and case studies, as well as an assessment at the end of the module, the topics covered combine a range of legal, finance and accounting concepts. These topics include the types of insolvency tests, financial ratios, financial sustainability, and forecasting and analysis.


This module is part of the Graduate Certificate in Insolvency and Restructuring.


LEARNING OBJECTIVES


At the end of the module, participants will be able to:

  • Explain the two types of insolvency tests under common law (which continues to be relevant to IRDA) and how this may be different from similar accounting concepts)
  • Deduce whether the tests are established (including with the aid of presumptions under section 125(2) of IRDA)
  • Question the merits/strengths of various factors that support the solvency or otherwise of an entity
  • Assess financial performance by interpreting liquidity, solvency, and profitability ratios
  • Assess financial sustainability (including what may be sustainable debt)
  • Differentiate between items in the financial statements that affect and do not affect cash flows
  • Critique cash flow or profit forecasts



WHO SHOULD ATTEND

  • Newly qualified accountants and lawyers pursuing R&I practice or mid-career accountants/ lawyers from other specialisations
  • Restructuring/ Financial Advisers
  • Bank/ Lender work-out groups



PREREQUISITE

Participants should preferably be a degree holder, in any discipline, and have at least one year of working experience.


ASSESSMENT

As part of the requirement for SkillsFuture Singapore, there will be an assessment conducted at the end of the course. The mode of assessment, which is up to the trainer’s discretion, may be an online quiz, a presentation or based on classroom exercises.


Participants are required to attain a minimum of 75% attendance and pass the associated assessment in order to receive a digital Certificate of Completion issued by Singapore Management University.

Kon Yin Tong

Kon Yin Tong is Managing Partner at Foo Kon Tan LLP and has held several roles and positions in his career. He is responsible for the overall strategy and stewardship of the firm. He leads a disciplined team of dedicated specialists by example to provide the distinctive high quality service to today’s discerning clients.

Yin Tong has been in the profession for 30 years and has personally been hands on in many client engagements, including cross-border assignments. He started his career with Big 4 firms in London and Singapore and joined Foo Kon Tan LLP in 1994. His areas of practice include litigation support, dispute resolution and acting as expert witness and as assessor to the High Courts in Singapore and in the UK. An Approved Liquidator, his areas of practice encompass turnaround and restructuring, business viability reviews and asset tracing and recovery. He has helped pursue delinquent directors and helped creditors trace and recover assets from companies in liquidation. He has also been appointed a judicial manager and as a trustee in bankruptcies. He is Fellow of the Insolvency Practitioners Association of Singapore (IPAS) and a first class honours graduate from the London School of Economics.
